These Terms & Conditions apply to products supplied by Licastro Projects Pty Ltd trading as BASELINE Water, ABN 66 701 733 842 (“BASELINE”, “we”, “us” or “our”).
By placing an order with BASELINE, accepting a quotation, purchasing through our website or purchasing under an approved trade arrangement, you agree to these Terms & Conditions.
Nothing in these Terms & Conditions excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.
An order placed with BASELINE is an offer to purchase the products specified in that order.
An order is accepted when BASELINE confirms the order and accepts or receives the required payment, unless otherwise agreed under an approved trade account.
BASELINE may decline or cancel an order before dispatch where reasonably necessary, including where:
• a product is unavailable
• an obvious pricing, description or system error has occurred
• payment cannot be verified
• the delivery address cannot reasonably be serviced
• the proposed application or source water is unsuitable for the product
• fraud or unauthorised payment is reasonably suspected
• fulfilling the order would breach a legal, regulatory or safety requirement.
Where BASELINE cancels an order after receiving payment and the cancellation is not caused by the customer, amounts paid for products that will not be supplied will be refunded.
Retail customers must pay the full purchase price before products are dispatched unless BASELINE agrees otherwise in writing.
Payment may be made using the payment methods made available by BASELINE at the time of purchase.
Trade customers are supplied on:
• payment before or on delivery; or
• approved credit terms established under a separate trade account or trade agreement.
Prices are those shown or quoted at the time the order is accepted.
Where GST is legally applicable, it will be dealt with as shown on the applicable quotation, invoice or checkout.
Any delivery, freight or other charges will be disclosed or quoted where applicable.
BASELINE takes reasonable steps to ensure product information and pricing are accurate.
If an obvious genuine error appears in a price, description, specification, promotion or website listing, BASELINE may correct the error and, where an affected order has already been placed, offer the customer the choice of proceeding on the corrected basis or receiving a refund for the affected product.
BASELINE supplies products throughout Australia, subject to freight availability and product suitability.
Delivery dates and transit times are estimates unless BASELINE expressly agrees otherwise in writing.
In-stock BASELINE ZERO orders to Perth metro addresses for which cleared payment and complete delivery information are received before 10:00am AWST on a weekday are delivered the same day.
Orders received after 10:00am AWST, on weekends or on public holidays, or for addresses outside the Perth metro area, are dispatched on the next eligible business day and delivered according to the carrier’s estimate.
Same-day delivery may be affected by circumstances outside BASELINE’s reasonable control, including carrier collection delays, severe weather, public holidays, system outages and other operational disruptions.
Products are delivered to the address supplied in the order.
Unless BASELINE agrees otherwise, someone must be present to receive the shipment and provide a signature.
The person receiving the shipment should inspect the exterior of the shipment for visible damage before accepting it wherever reasonably practical.
Signing for delivery confirms receipt and the apparent condition of the shipment at the time of delivery. It does not remove any rights relating to concealed damage, defects or rights available under the Australian Consumer Law.
Customers should notify BASELINE as soon as reasonably practical if freight damage is discovered and should retain:
• the original packaging
• photographs of the packaging
• photographs of the damage
• freight labels and delivery documentation.
A customer may request cancellation before an order has been dispatched.
Where the order has not been dispatched or committed to non-recoverable costs, BASELINE will generally cancel the order and refund the applicable purchase price.
Where reasonable and genuine costs have already been incurred specifically in preparing or fulfilling the order, BASELINE may deduct those unrecoverable costs to the extent permitted by law.
Once an order has been dispatched, a cancellation will generally be treated as a change-of-mind return.
The customer will be responsible for applicable outbound and return freight costs and any other reasonable unrecoverable costs resulting from the cancellation.
This section does not apply where the customer is exercising a right or remedy available because products are faulty, damaged, incorrectly supplied or otherwise subject to a legal remedy.
BASELINE may accept a change-of-mind return, from retail and trade customers, where the customer contacts BASELINE within 14 days of delivery and the product:
• remains unopened
• remains unused
• has not been installed or connected
• has not had filtration media or water-contact components exposed to water
• remains in its complete original packaging
• includes all accessories, components, documentation and inclusions
• is in a condition suitable for resale as new.
Because BASELINE filtration products include components intended to come into contact with drinking water, products that have been opened, connected, installed, wetted or otherwise exposed in a way that affects hygiene or product integrity cannot generally be accepted as a change-of-mind return.
A restocking fee of 20% of the product price applies to every approved change-of-mind return and is deducted from the refund.
The customer is responsible for organising and paying return freight for a change-of-mind return.
Approved refunds are paid to the original payment method within 10 days of BASELINE receiving and inspecting the returned product.
The customer is also responsible for ensuring the product is adequately packaged and returned without damage.
BASELINE may refuse a discretionary change-of-mind return where these requirements are not satisfied.
This section does not limit rights available for faulty or non-compliant products under the Australian Consumer Law.
Risk in the products passes to the customer when the products are delivered to the customer or the customer’s nominated recipient.
Ownership of products passes once BASELINE has received full payment for those products, subject to the additional trade credit provisions below.
Unless BASELINE expressly agrees otherwise in writing, BASELINE supplies filtration equipment only.
BASELINE does not provide plumbing or electrical installation as part of the product purchase.
The customer is responsible for engaging appropriately qualified and licensed tradespeople to perform required installation work.
Any installation quote or arrangement made directly between the customer and an independent plumber, electrician or installer is a separate arrangement between those parties.
BASELINE is not responsible for defective workmanship performed by an independent installer, although this does not affect rights relating to the BASELINE product itself.
BASELINE products must be installed in accordance with:
• the applicable BASELINE installation instructions
• the product specifications
• applicable plumbing and electrical requirements
• relevant laws, regulations and standards.
Where required by the product:
• plumbing work must be performed by a licensed plumber
• any new electrical powerpoint must be installed by a licensed electrician
• inlet pressure must be limited to a maximum of 500 kPa
• the drain line must be no smaller than the system’s drain outlet
• drain lines must be installed with minimal unnecessary bends and restrictions
• appropriate protective covers must be installed where required for outdoor installations.
Installation requirements relating specifically to warranty coverage are set out in the BASELINE Warranty.
The customer and installer are responsible for confirming that the installation site is suitable for the product, including:
• available installation space
• drainage
• electrical supply
• plumbing configuration
• incoming water pressure
• access for servicing and maintenance
• source water conditions.
Customers and trade installers must provide accurate information where BASELINE is asked to recommend a product for a particular application.
BASELINE may decline to supply a product, recommend additional treatment or require further water testing where the source water appears unsuitable for the intended system.
This may include water with elevated iron or other characteristics outside the product’s intended operating or treatment conditions.
Where BASELINE makes a recommendation based on information supplied by the customer or installer, BASELINE is entitled to rely on that information being accurate and complete.
Actual filtration performance and service life can vary depending on factors including:
• incoming water quality
• contaminant levels
• household or business water consumption
• flow rate
• water pressure
• temperature
• maintenance
• operating conditions.
Published performance figures, test results or contaminant-reduction information relate to the product and the conditions under which the relevant testing or assessment was performed.
They should not be interpreted as guaranteeing identical incoming or outgoing water characteristics at every property regardless of site conditions.
BASELINE may make reasonable changes to products, components, packaging or specifications over time where those changes do not materially reduce the product’s advertised functionality or performance.
Where an identical replacement component is no longer available or reasonably obtainable, BASELINE may use an equivalent or better component in accordance with the BASELINE Warranty.
Unless otherwise stated:
• promotional offers apply for the stated promotional period
• discount codes cannot be exchanged for cash
• discount codes cannot be combined with other offers unless expressly permitted
• promotional stock may be subject to availability
• specific promotions may have additional terms disclosed with the offer.
BASELINE products are covered by the applicable BASELINE Water Warranty.
The manufacturer’s warranty is separate from and additional to any rights and remedies available under the Australian Consumer Law.
Where an approved trade customer sells and installs a BASELINE product for an end customer, the applicable BASELINE warranty is determined by the end use and the applicable warranty conditions.
Proof of purchase and evidence of installation by an appropriately qualified installer may be required for a warranty claim.
Nothing in these Terms & Conditions is intended to exclude, restrict or modify any guarantee, right or remedy available under the Australian Consumer Law or any other law where that right cannot legally be excluded.
Where products fail to satisfy an applicable consumer guarantee, the remedies available will be determined in accordance with the Australian Consumer Law.
BASELINE’s voluntary warranty and change-of-mind policies operate in addition to those rights.
To the extent permitted by law, BASELINE is not responsible for loss or damage caused by:
• incorrect installation by an independent installer
• use outside published operating requirements
• unsuitable source water where relevant information was not disclosed to BASELINE
• unauthorised product modification
• misuse, neglect or abnormal operating conditions
• independent representations or promises made by a reseller, installer or other third party that have not been authorised by BASELINE.
Nothing in these Terms excludes liability that cannot legally be excluded.
Where the Australian Consumer Law does not apply and liability can lawfully be limited, BASELINE’s liability in connection with an affected order will, to the extent permitted by law, be limited to the amount paid for the affected products.
This limitation does not apply where a limitation would be prohibited by law.
The following additional conditions apply to approved trade customers.
If there is an inconsistency between these trade provisions and the general provisions above, these trade provisions apply to the trade transaction to the extent of the inconsistency.
Holding an ABN does not automatically entitle a person or business to BASELINE trade pricing or trade status.
Trade purchasing is available only to businesses approved by BASELINE.
BASELINE may consider factors including:
• the nature of the business
• relevant licences and qualifications
• intended use of BASELINE products
• experience and technical capability
• brand suitability
• payment history
• credit risk
• customer service standards
• ability to comply with BASELINE installation and product requirements.
BASELINE may approve, decline, suspend or review trade status on reasonable commercial, compliance, credit or brand-protection grounds.
Unless BASELINE provides prior written consent otherwise, products supplied under trade arrangements are supplied to the approved trade customer for installation as part of that trade customer’s own services.
Trade approval does not automatically authorise:
• wholesale distribution
• supply to other resellers
• standalone online retailing
• marketplace sales
• dealership representations
• appointment of sub-distributors
• representation as an agent or employee of BASELINE.
Any different distribution or resale arrangement requires prior written approval from BASELINE.
Trade customers operate independent businesses.
Approval as a BASELINE trade customer does not create a partnership, joint venture, franchise, agency, employment relationship or authority to legally bind BASELINE.
Trade customers remain responsible for:
• their own quotations and contracts
• installation workmanship
• licensing and regulatory compliance
• employees and subcontractors
• insurance
• taxes
• customer service
• representations made to their customers.
BASELINE’s business name, trademarks, logos, product photography, videos, graphics, written copy and other brand assets remain the property of BASELINE or the applicable rights holder.
Trade customers must obtain BASELINE’s prior written approval before using BASELINE brand assets in advertising, websites, social media, printed materials, signage, marketplaces or other promotional material.
Approval may be limited to the particular use submitted for approval.
Trade customers must not:
• make product-performance or health claims that are inconsistent with BASELINE’s published information
• alter BASELINE testing or certification claims
• create misleading representations about product capability
• suggest that they are BASELINE itself
• describe themselves as an exclusive distributor or representative unless expressly authorised
• obscure or remove serial numbers, compliance markings or identification labels
• rebrand a BASELINE product as another product
• alter packaging, labels, covers or branding in a way that misleads or deceives customers as to the identity or origin of the product.
Products may of course be unpacked where reasonably necessary for genuine installation.
BASELINE may require inaccurate, misleading, unauthorised or non-compliant brand material to be corrected or removed.
BASELINE may provide recommended retail prices or suggested pricing guidance from time to time.
Any recommended retail price is a recommendation only.
Trade customers independently determine the prices at which they sell their own goods and services.
Trade customers remain responsible for ensuring their pricing, discount representations and advertising comply with applicable law.
Trade pricing is confidential unless BASELINE agrees otherwise.
Trade pricing may:
• differ between approved trade customers
• depend on volume, product mix or commercial arrangements
• be changed for future orders
• be subject to specific quotation periods.
A change in trade pricing does not retrospectively change the price of an order already accepted by BASELINE.
Where GST becomes applicable, it will be applied in accordance with law and shown on the applicable invoice or quotation.
Unless an approved trade credit account has been established, trade orders are supplied on payment before or on delivery.
BASELINE may establish separate credit arrangements with approved trade customers.
Credit terms, credit limits and payment periods may be specified in:
• a trade account approval
• credit application
• quotation
• invoice
• separate trade agreement.
BASELINE may review, reduce, suspend or withdraw an available credit facility on reasonable commercial or credit-risk grounds.
This does not retrospectively change payment terms already agreed for goods previously supplied unless otherwise permitted by the applicable trade agreement or law.
An approved credit limit is the maximum amount BASELINE has agreed to make available on account at that time.
BASELINE is not required to supply additional goods where doing so would exceed the approved limit.
BASELINE may require payment of existing invoices before accepting further orders.
Higher-value credit arrangements may require additional documentation, security or a separate director or personal guarantee under the applicable trade credit application.
If a trade customer fails to pay an amount by its due date, BASELINE may, subject to applicable law:
• suspend further supply
• place the account on payment-before-delivery terms
• reduce or withdraw the credit limit
• require overdue amounts to be paid before further orders are accepted
• charge interest on overdue amounts at 2% per month, calculated from the due date, to the extent that the charge is lawful and reasonably applicable
• recover reasonable costs actually incurred in recovering overdue amounts.
BASELINE may exercise these rights proportionately having regard to the amount and circumstances of the default.
A trade customer will be considered in default where:
• an amount remains overdue
• an agreed payment arrangement is materially breached
• the customer becomes insolvent
• an administrator, receiver or liquidator is appointed
• the customer enters liquidation or voluntary administration
• BASELINE reasonably considers there has been a material credit or payment risk affecting further supply.
Where a default occurs, BASELINE may, subject to law:
• suspend unfulfilled orders
• withdraw further credit
• require future orders to be paid before dispatch
• require immediately due amounts to be paid
• exercise rights available under any valid security interest.
Where products are supplied before BASELINE has received full payment, ownership of those products remains with BASELINE until the applicable amounts have been paid in full.
The trade customer grants BASELINE a security interest in products supplied on credit and, to the extent permitted by the Personal Property Securities Act 2009 (Cth), applicable proceeds of those products, to secure amounts owing to BASELINE.
The trade customer agrees to provide information reasonably required by BASELINE to register, maintain or enforce a security interest on the Personal Property Securities Register.
Where appropriate, BASELINE may register its security interest on the PPSR.
Until ownership passes, the trade customer must take reasonable care of unpaid goods and, where practical, keep them identifiable.
Nothing in this section prevents an approved reseller from selling or installing products in the ordinary course of an authorised resale or installation arrangement where BASELINE has permitted that activity.
If goods remain identifiable and unpaid following a payment default, BASELINE may exercise any lawful rights available to recover those goods.
Any access to premises or recovery action must be carried out lawfully.
Standard freight for approved trade orders within the Perth metropolitan area, as confirmed by BASELINE for the applicable order, is provided free unless otherwise stated.
Freight outside the applicable Perth metropolitan delivery area will be quoted or charged separately.
Special freight requirements, urgent freight, tailgate services, redelivery, remote-area surcharges or other non-standard freight may incur additional charges where disclosed or agreed.
Trade customers have the same change-of-mind rights as retail customers under section 8, including the 14 day period, the 20% restocking fee, return freight and refund timing.
This section does not apply to rights or remedies that cannot lawfully be excluded, including where applicable products are defective or incorrectly supplied.
Orders sourced, manufactured, configured or committed specifically for a customer may be identified as special, bulk or non-stock orders.
Cancellation of such an order after BASELINE has committed to supply may be subject to:
• reasonable unrecoverable supplier costs
• freight or handling costs already incurred
• a restocking or cancellation charge of up to 20%, where reasonably applicable to the costs and circumstances of the cancellation.
BASELINE will not apply a cancellation or restocking charge where doing so would interfere with a non-excludable legal right.
A trade customer or the applicable end customer may contact BASELINE regarding a warranty claim.
BASELINE may require evidence including:
• proof of purchase
• the trade invoice
• product serial number
• photographs or videos
• fault information
• installation details
• evidence that installation was carried out by an appropriately licensed or qualified installer.
The applicable BASELINE warranty depends on the product, end use and warranty conditions published by BASELINE.
Where an approved trade customer supplies a system to an end customer, that initial supply to the end customer is not treated as an unauthorised warranty transfer.
A trade customer installing BASELINE products is responsible for:
• holding all required licences and qualifications
• complying with applicable regulations and standards
• confirming site suitability
• assessing relevant water conditions
• following BASELINE installation requirements
• providing appropriate pressure control
• providing compliant drainage
• arranging compliant electrical work where required
• commissioning and checking the system appropriately
• explaining relevant maintenance requirements to the end customer.
The trade customer is responsible for its own installation workmanship.
Trade customers must not provide warranties, guarantees, performance promises or representations on behalf of BASELINE beyond those expressly authorised or published by BASELINE.
A trade customer may provide its own separate service or workmanship guarantees, but those guarantees are the responsibility of the trade customer.
The trade customer is responsible for claims it independently makes to its customer.
Trade customers are responsible for making reasonable enquiries about the intended installation and source water before recommending or installing a BASELINE system.
Where water conditions may fall outside the intended application of the product, including potentially elevated iron or other unsuitable characteristics, further testing or pretreatment may be required.
BASELINE may decline supply, require further information or recommend additional treatment where reasonably necessary to protect system operation or ensure the product is appropriate for the intended application.
Approval as a BASELINE trade customer does not provide any exclusive territory, suburb, postcode, customer group or sales area.
Any exclusive distribution, territory or dealership arrangement must be contained in a separate written agreement signed by BASELINE.
BASELINE may from time to time refer potential customers or enquiries to an approved trade customer.
Any referral is provided in good faith.
BASELINE does not guarantee:
• that the lead will proceed
• the accuracy or completeness of information supplied by the lead
• the value of any potential job
• that the lead has selected the appropriate product
• payment by the lead
• any minimum volume of referrals.
The trade customer is responsible for conducting its own due diligence, assessing the installation, providing its own quotation and deciding whether to accept the work.
Any contract for plumbing, electrical or installation services is between the trade customer and the end customer unless BASELINE expressly agrees otherwise in writing.
Information provided as part of a referral must only be used for legitimate purposes connected with that enquiry and must be handled in accordance with applicable privacy requirements.
Trade approval does not guarantee any minimum sales volume, product availability, customer referrals, geographical protection or ongoing supply arrangement.
BASELINE and the trade customer remain independent businesses.
BASELINE may suspend or terminate trade status on reasonable grounds including:
• material non-payment
• repeated late payment
• misuse of BASELINE branding
• materially misleading product claims
• unlicensed or unsafe installation practices
• material breach of these Terms
• fraud or dishonest conduct relating to BASELINE products
• unauthorised redistribution or rebranding
• conduct reasonably likely to cause material damage to customers or the BASELINE brand.
Termination of trade status does not affect existing payment obligations, valid customer warranty rights or rights that accrued before termination.
Unless otherwise stated, website content, product names, logos, photographs, graphics, manuals, videos, marketing copy and other BASELINE materials remain the intellectual property of BASELINE or their respective owners.
No intellectual property right is transferred simply because a customer purchases a product.
BASELINE may update product information, specifications, imagery and website content from time to time.
Images may include illustrative elements and minor visual differences may occur between production batches.
BASELINE will not knowingly substitute a materially inferior product under an accepted order without addressing the change with the customer.
BASELINE will not be responsible for a delay caused by an event outside its reasonable control to the extent permitted by law.
Examples may include:
• freight network interruption
• severe weather
• natural disasters
• industrial action
• port delays
• government restrictions
• supplier interruption
• major telecommunications or system outages.
Where such an event materially affects an order, BASELINE will take reasonable steps to minimise the impact and communicate material delays where practical.
BASELINE may update these Terms & Conditions from time to time.
Unless otherwise required by law or separately agreed, changes apply to future transactions and do not retrospectively alter an order that has already been accepted.
If part of these Terms is found to be invalid or unenforceable, that provision will be read down to the extent reasonably possible or severed where necessary without affecting the remaining provisions.
These Terms & Conditions are governed by the laws applicable in Western Australia and the laws of the Commonwealth of Australia.
Nothing in this section limits any right a consumer has to bring a claim in another jurisdiction where applicable law permits it.
